In practice, we refer to ‘corporate and commercial’ matters, and even though the two practices are separate entailing different law elements, they are almost always linked. It may therefore become slightly confusing for clients when referring to the differences between corporate and commercial practices. This blog is intended to clarify some of the differences between the two practices.
What is Corporate Law?
Corporate practices govern issues relating to companies, including, but not limited to:
- the formation of companies and/or other types of businesses;
- shareholders’ rights and/or disputes;
- issue of capital whether share or otherwise and investment arrangements;
- joint ventures; and
- mergers and acquisitions.
Even though the corporate practice is separate from the commercial practice, it is often almost impossible for the two practices not to interlink when discussing a company, its lifespan and its business going forward.
What is Commercial Law?
Commercial work generally refers to work done to support the business in question and it includes any type of contract the client may require. There are a variety of different contracts that may be required and these vary from business to business. General contracts that may be required include, but are not limited to:
- employment contracts;
- supply and/or distribution of goods/services;
- terms and conditions (online traders);
- leases (if applicable; and
- any other types of commercial contracts as the company may require to carry on its business.
Commercial law is a wider ‘umbrella’ and may include a broader range of practice areas such as franchising, IP, and sometimes litigation.
Why are Corporate & Commercial Law linked?
Corporate and commercial practices are closely linked as their work is focused on the lifecycles of companies, mergers, and acquisitions. Some practices may have two different designated departments (i.e. one for corporate matters and one for commercial) or one department dealing with both corporate and commercial practices and therefore covering a full range of matters.
